Are you sure you are not simply looking at a wireframe view?
Is it a 3D-model in AutoCAD? Or only a 2D-drawing?
Does it use surfaces?

Using an external program with a max-scene is, well, probably impossible. No other program than 3ds max can read the *.max fileformat and then even only files from it's own version or older.

Don't forget that when you export to DXF and import that in 3ds max, you lose all texture-mapping and all material info. Re-applying an existing texture map to a non-mapped geometry is not possible....
